This Corporate Partnership Agreement ("Agreement") is entered into between Steve Thami Foundation, a registered charitable organization in Kenya ("the Foundation"), and the undersigned corporate partner ("the Partner"), collectively referred to as "the Parties".

Both Parties share a commitment to creating positive social impact and agree to collaborate under the terms outlined herein.

Terms & Conditions

  1. Purpose: The financial and in-kind contributions made under this Agreement shall be used exclusively for the programs and initiatives identified in Section 2, or as mutually agreed upon by both Parties in writing.
  2. Transparency: The Foundation shall provide the Partner with quarterly progress reports detailing the utilization of funds, program outcomes, and beneficiary impact. Annual audited financial statements shall be made available upon request.
  3. Branding: Neither Party shall use the other's name, logo, or trademarks in marketing or promotional materials without prior written consent. Both Parties agree to collaborative review of any co-branded materials.
  4. Confidentiality: Both Parties agree to maintain the confidentiality of proprietary information, financial details, and strategic plans shared during the course of this partnership.
  5. Exclusivity: This Agreement is non-exclusive. Both Parties retain the right to enter into partnerships with other organizations, provided there is no conflict of interest.
  6. Termination: Either Party may terminate this Agreement with 30 days written notice. Upon termination, the Foundation shall provide a final report on the utilization of any received contributions. Unused funds designated for specific programs may be returned upon request.
  7. Compliance: Both Parties shall comply with all applicable laws and regulations of the Republic of Kenya, including but not limited to tax regulations, anti-corruption laws, and NGO coordination requirements.
  8. Amendments: Any modifications to this Agreement must be made in writing and signed by authorized representatives of both Parties.
  9. Dispute Resolution: Any disputes arising from this Agreement shall first be resolved through good-faith negotiation. If unresolved, the Parties agree to mediation under the laws of Kenya.
  10. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya.
